Overall Disclaimer: Diactica Inc., its directors, officers, employees, and agents (hereinafter collectively "Diactica" shall not be liable in contract, negligence or otherwise in respect of any information or advice expressly or impliedly given in its Websites and Blogs (hereinafter “Sites”). Nor shall DIACTICA be liable in respect of any inaccuracy herein or omission herefrom, nor in respect of any act or omission that has caused or contributed to its Sites being published with the information or advice which they contain (see below).

Acceptance of Terms: By visiting the Sites, viewing, accessing or otherwise using any of the services or information created, collected, compiled or submitted to the Sites, you agree to be bound by these Terms of Use. If you do not want to be so bound, your only option is not to visit, view or otherwise use the Sites and services. You understand, agree and acknowledge that these Terms constitute a legally binding agreement between you and DIACTICA, and that your use of its Sites shall indicate your conclusive acceptance of this agreement.

Provision of Services: You agree and acknowledge that DIACTICA is entitled to modify, improve or discontinue any services at its sole discretion and without notice, even if it may result in your being prevented from accessing information in the Sites. Further, you agree that DIACTICA is entitled to provide services to you through subsidiaries, affiliated entities, or third-party consultants, speakers, or other experts, via its Sites and in other ways.

Proprietary Rights: The Sites may contain proprietary and copyright information, including trademarks, service marks and patents protected by intellectual property laws and international intellectual property treaties. Site content is the subject of intellectual property rights reserved by DIACTICA. Any further rights not specifically granted herein are reserved. Except for permission herein granted, nothing contained herein may be construed to confer on the user in any manner any license, title, or ownership of, or interest in, any intellectual property right of DIACTICA. Users are authorized to view and make a single copy of portions of Site content for offline, personal, non-commercial use only. Site content may not be sold, reproduced, or distributed, without express written permission from DIACTICA. Any third-party trademarks, service marks and logos are the property of their respective owners. DIACTICA prohibits the use of its logos or designs, either directly on or closely associated with other products or services, in such a way as to imply that such products are certified, authorized, recommended, or in any way endorsed by DIACTICA. DIACTICA reserves the right to prohibit the use of other-party logos which are unacceptable to DIACTICA in close proximity or association with the DIACTICA logo.

Submitted Content: DIACTICA prohibits the modification of, or tampering with any information contained on its Sites without written permission. When you submit content to the Sites, you simultaneously grant DIACTICA an irrevocable, worldwide, royalty-free license to publish, display, modify, distribute and syndicate your content worldwide. In so doing, you confirm and warrant that you have the required authority to grant such license to DIACTICA.

External Content and Hyperlinks: The Sites may include outbound hyperlinks to third-party content, advertising, or websites. DIACTICA is not responsible for and does not endorse any advertising, products, or resources available from such external sources or websites. DIACTICA allows the use of inbound hyperlinks pointing to its Sites, based on the herein Terms, providing they point from a positive and complimentary context, and DIACTICA will block any found to be in contravention thereof.

Disclaimer of Warranties & Limitation of Liability: While DIACTICA uses all reasonable efforts to include accurate and up-to-date content on its Sites, you use the Sites entirely at your own risk. DIACTICA makes no express or implied warranties, endorsements or representations whatsoever as to the operation of the Sites, nor their content, products, or services, nor as to the accuracy or suitability for any purpose of such material, which is provided on an “As Is, As Available” basis. DIACTICA assumes no liability or responsibility for any technical inaccuracies or typographical or other errors or omissions in the material, which may be changed or updated without notice. This includes but is not limited to implied warranties of merchantability and fitness for a particular purpose and non-infringement, nor of access to or use of the service, nor that access will be uninterrupted or error-free, nor that defects in the service will be corrected. DIACTICA may also make improvements and/or changes in the products and/or the programs described in the Sites at any time without notice. DIACTICA is not liable for any direct, consequential, incidental, special, punitive or other damages whatsoever without limitation for: business losses, business interruption, loss of business information, loss of reputation or goodwill; intangible losses from the use or inability to use the service or Site content; any permanent or temporary cessation of service or Site access; the deletion or corruption of, or failure to store content. This limitation shall apply whether or not DIACTICA was advised of, or should have been aware of, the possibility of such damages or losses. In jurisdictions where the exclusion or limitation of liability for consequential or incidental damages is not allowed, DIACTICA’s liability is limited to the greatest extent permitted by law.

Termination: The Terms of this agreement will continue to apply in perpetuity until terminated by either party without notice at any time for any reason. Terms that are to continue in perpetuity shall be unaffected by the termination of this agreement.

Jurisdiction: You expressly understand and agree to submit to the personal and exclusive jurisdiction of the courts of the country, state, province or territory determined solely by DIACTICA to resolve any legal matter arising from this agreement or related to your use of the Sites. By accessing the Sites, you agree that any claim you may have against DIACTICA in contract, tort or otherwise in respect of the Sites and their information shall be governed by the laws of the State of Delaware, USA, without regard to its conflicts of laws rules. If the court of law having jurisdiction rules that any provision of the agreement is invalid, then that provision will be removed from the Terms and the remaining Terms will continue to be valid.

Entire Agreement: The above Terms constitute the entire general Sites use agreement between you and DIACTICA. You may be subject to additional Terms and conditions when you use, purchase or access other services, consulting or affiliate services, or third-party content or material.

Changes to Terms: DIACTICA reserves the right to modify these Terms at its sole discretion and without notice. Such changes become effective on the date they are posted, and your continued use of the Sites after any changes to Terms will signify your agreement to be bound by them.
